Client Terms of Service

1. Agreement and Acceptance

These Client Terms constitute a legally binding agreement between the entity or individual accessing the platform (“Client”) and Team AI Pte. Ltd., operating as ourteam (“Company”).

By accessing or using the platform, including during any trial, pilot, or evaluation period, the Client confirms that it has read, understood, and agreed to be bound by these Terms.

If the Client does not agree to these Terms, it must not access or use the platform.

Electronic acceptance, including click-through consent, constitutes valid and enforceable agreement.

2. Scope of Services

ourteam provides a software platform for AI-assisted hiring workflows, including candidate screening, assessments, interviews, summaries, and analytics (the “Services”).

ourteam is a technology provider only. ourteam does not act as an employer, recruiter, staffing agency, or decision-maker.

Hiring decisions and employment outcomes are solely the responsibility of the Client.

3. Eligibility and Authority

The Client represents and warrants that:

• It has the legal authority to enter into these Terms

• All registration information provided is accurate and complete

• Authorized users are at least 18 years old

• Use of the Services complies with applicable laws and regulations

4. Platform Access and License

Subject to compliance with these Terms, ourteam grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for internal business and hiring purposes.

All rights not expressly granted are reserved by ourteam.

5. Trial and Early Access

Trial, pilot, or early access use is:

• Time-limited

• Feature-limited

• Provided “as is” with no obligation to convert to a paid plan

ourteam may modify, suspend, or terminate trial access at any time, with or without notice, at its sole discretion.

6. Confidential Information

Confidential Information includes all non-public information disclosed through or in connection with the Services, including:

• Platform features, UI, workflows, and documentation

• AI models, scoring logic, evaluation methods, and outputs

• Product roadmaps, pricing, benchmarks, and internal metrics

• Any trial, pilot, or early access functionality

Confidential Information excludes information that is publicly available without breach or independently developed.

7. Confidentiality Obligations

The Client agrees to:

• Use Confidential Information solely for evaluating or using the Services

• Not disclose Confidential Information to third parties without written consent

• Restrict access to authorized personnel with a legitimate need to know

• Protect Confidential Information with reasonable care

These obligations survive termination of access.

8. Intellectual Property

All intellectual property rights in the Services remain solely with ourteam.

The Client shall not:

• Copy, record, screenshot, reproduce, or distribute platform content

• Reverse engineer, decompile, or attempt to extract models or logic

• Scrape, download, benchmark, or systematically capture data or outputs

• Use the Services to compete with or build a competing product

Any breach of this section constitutes a material breach and may result in immediate termination.

9. Prohibited Use

The Client shall not:

• Share accounts or credentials

• Circumvent security or usage limits

• Use automation, bots, or scraping tools

• Conduct competitive analysis or benchmarking

• Upload malicious code or harmful content

• Use the Services for unlawful or misleading purposes

ourteam may suspend or terminate access for any prohibited use.

10. Client Data

The Client retains ownership of all data uploaded to the Services.

The Client grants ourteam a limited right to process such data solely to:

• Operate and support the Services

• Provide analytics and reporting

• Improve platform performance in aggregated or anonymized form

The Client represents that it has lawful rights to upload and process all candidate data.

11. AI Outputs and No Reliance

AI-generated outputs are decision-support tools only.

The Client acknowledges that:

• Outputs may be incomplete, inaccurate, or biased

• Human judgment and independent verification are required

• Hiring decisions remain solely the Client’s responsibility

The Client agrees it does not rely on the Services as a substitute for professional or legal judgment.

12. Regulatory Disclaimer

The Services are not designed to comply with industry-specific regulations unless expressly agreed in writing.

The Client is solely responsible for compliance with employment, labor, data protection, and anti-discrimination laws applicable to its use of the Services.

13. Fees and Payment

Fees, billing cycles, and usage limits are governed by the applicable subscription plan or order form.

Unless otherwise stated:

• Fees are non-refundable

• Invoices are payable within 30 days

• Late payments may incur interest at the maximum rate permitted by law

14. Suspension and Termination

ourteam may suspend or terminate access immediately if the Client:

• Breaches these Terms

• Fails to pay fees

• Creates legal, security, or reputational risk

Upon termination, all access must cease and outstanding fees remain payable.

15. Disclaimer of Warranties

The Services are provided “as is” and “as available”.

To the maximum extent permitted by law, ourteam disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law:

• ourteam shall not be liable for indirect, incidental, or consequential damages

• Total liability shall not exceed fees paid in the preceding 12 months

17. Indemnification

Each party agrees to indemnify the other against claims arising from:

• Breach of these Terms

• Violation of applicable laws

• Misuse of the Services

18. Amendments

ourteam may update these Terms from time to time.

Continued use of the Services constitutes acceptance of the revised Terms.

19. Miscellaneous

• These Terms constitute the entire agreement between the parties

• No partnership, agency, or employment relationship is created

• If any provision is unenforceable, the remainder remains in effect

• ourteam may assign its rights and obligations

20. Governing Law

These Terms are governed by the laws of Singapore.
